Supplemental Terms

Customer’s access to and use of certain functionality, applications, or Add-on Services as part of the Subscription Services are subject to these Neural Supplemental Terms (“Supplemental Terms”), in addition to the terms set forth in the Neural Platform Subscription Agreement, or separate agreement under which Neural is providing the Subscription Services to Customer (“Agreement”). Capitalized terms not defined in these Supplemental Terms will have the meanings set forth in the Neural Platform Subscription Agreement (“Subscription Agreement”). If there is a conflict between the Supplemental Terms and the Agreement, these Supplemental Terms will control for the subject matter herein. Neural may update these Supplemental Terms from time to time by posting updated terms on this page. Neural will provide notice of updates to these terms in accordance with the Subscription Agreement. By continuing to use any of the services provided by Neural after an update to these Supplemental Terms, Customer agrees to the updates to these Supplemental terms.
1. Free and Beta Services
Neural may make Free Services and Beta Services available to Customer from time to time and Customer may choose to use Free Services and Beta Services in its sole discretion. Access to and use of the Free Services and Beta Services is limited to Customer’s internal use to test or evaluate the Free Services and Beta Services in accordance with the restrictions set forth in the Subscription Agreement that apply to the use of the Subscription Services, including but not limited to those restrictions set forth in Section 3.3 of the Subscription Agreement. Unless otherwise set forth in an Order: (a) Free Services and Beta Services offered at no charge will be subject to the Fees set forth in the Order upon the expiration of any free period set forth in the applicable Order or, if there is no free period set forth in the Order, upon fifteen days written notice by Neural; (b) free trials for new Customers have a fourteen-day term; (c) Free Services and Beta Services may not be supported and may be changed or cancelled at any time without notice; (d) Free Services and Beta Services may not be as reliable or available as the Subscription Services; and (e) Free Services and Beta Services may not have been subjected to the same security measures and auditing as the Subscription Services. NEURAL MAKES NO WARRANTIES FOR FREE SERVICES AND BETA SERVICES AND WILL HAVE NO LIABILITY OR INDEMNIFICATION OBLIGATIONS ARISING OUT OF OR IN CONNECTION WITH FREE SERVICES OR BETA SERVICES – ANY USE OF FREE SERVICES OR BETA SERVICES IS “AS IS” AND AT CUSTOMER’S OWN RISK.
2. Sharing Tools
Certain Subscription Services functionalities may allow Customer to share Customer Data with other users or with the public ("Sharing Tools"). If Customer uses the Sharing Tools to share Customer Data with third parties, Customer thereby grants those parties a license to use, store, cache, copy, reproduce, (re)distribute, and (re)transmit the Customer Data, subject to any terms of use and access restrictions that Customer provides with such Customer Data. NEURAL IS NOT RESPONSIBLE FOR ANY LOSS, DELETION, MODIFICATION, OR DISCLOSURE OF CUSTOMER DATA RESULTING FROM CUSTOMER'S USE OF THE SHARING TOOLS. CUSTOMER'S USE OF SHARING TOOLS IS AT CUSTOMER’S SOLE RISK. Customer agrees to indemnify and hold harmless Neural and its subsidiaries, affiliates, directors, officers, agents, partners, and employees from any claim or demand, including reasonable attorneys' fees, related to its use of the Sharing Tools to share Customer Data with third parties.
